MealGo Merchant Agreement

This agreement is between your business (the "Merchant") and MealGo, a site owned and operated by Unisoft Solutions Ltd (the "Platform"). Please read it, complete your details below, tick to agree, and type your name to sign.

Terms of Service

1. The Service

The Platform provides the Merchant with a MealGo-hosted online ordering page (storefront), menu management, and order processing so the Merchant can take and fulfil orders directly from its own customers. We, MealGo provide an online platform to connect listed Merchants with Customers. At no time will a contract come into existence between us the Platform and Customers for the purchase of food ordered from listed Merchants. Any contract formed between a Merchant and a Customer for the sale/purchase of food or services will be solely between the Merchant and Customer. Our Site is directed to Customers and Merchants based in the United Kingdom only and is subject to site/location restrictions. You must be resident in the United Kingdom in order for a Merchant to have an account with us.

2. Who are MealGo

MealGo are an online ordering, menu management and food order processing Platform owned and operated by Unisoft Solutions, a company registered in England with company name Unisoft Solutions Limited, Company number 04704577 and whose registered office is Level One, 46 Hanbury Street, London E1 5JL. 3. Your Website

If the Merchant already operates a live online ordering website, the Merchant will grant the Platform reasonable access to add its MealGo ordering (cart) page directly to that site. If the Merchant has no existing live online ordering website or domain, the Platform will provide one at the Platform's expense that directs customers to the Merchant's MealGo ordering page. The website and hosting is free as long as the Merchant is using the MealGo cart. If the Merchant decides to stop using MealGo cart/ordering cart but still wants the website, the Merchant is charged only the annual hosting and maintenance fee for that site (£120 +VAT).

4. Fees

There is no setup fee, no monthly fee, no subscription and no minimum-term lock-in. Unless different figures have been clearly discussed and agreed in writing for the individual Merchant, the Platform charges a 10% commission on each successful order processed through the Platform, covering card processing, platform hosting, and maintenance. Promotional rate: once the Merchant has referred five (5) other merchants who join the Platform, the Merchant becomes eligible for a reduced 5% commission. Any website hosting and maintenance fee under section 3 above, is separate and billed annually as follows: annual hosting fee and maintenance fee: £120 +VAT annually.

5. Payments & Settlement

Customer payments are collected through the Platform's integrated card payment provider. Funds, net of the applicable commission, are settled to the Merchant's nominated account in line with the payment provider's standard payout schedule.

6. Merchant Responsibilities

The Merchant holds all licences, permits, and food-hygiene certifications required to operate, and is responsible for keeping its menu, prices, descriptions, and allergen information accurate and up to date. The Merchant is responsible for fulfilling orders. The Merchant is responsible for their own tax and VAT as appropriate.

7. Food Safety & Liability

The Merchant is solely responsible for the preparation, packaging, and quality of all food and drink. The Platform is not liable for issues arising from the Merchant's handling of products.

8. Data Protection

Personal details provided on this form are used only to create and administer this agreement and are stored securely. Customer orders placed through the Platform are governed by MealGo's customer Terms and Privacy Policy published at mealgo.co.uk. Both parties will comply with applicable UK data-protection law (UK GDPR).

9. Term & Termination

Either party may end this agreement on giving 30 days (thirty days) written notice. The Platform may suspend access immediately for breach of food-safety rules, non-payment of due fees, or conduct that brings the MealGo brand into disrepute.

10. Disclaimer of Liability and Legal Rights

10.1 Nothing on Our Platform constitutes advice on which you should rely. Information and other materials on Our Site are provided for general information purposes only. 10.2 As permitted by law, We MealGo make no representation, warranty, or guarantee that Our Site will meet your requirements, that it will not infringe the rights of third parties, that it will be compatible with all software and hardware, or that it will be secure. 10.3 We make reasonable efforts to ensure that Our MealGo Content and Site is complete, accurate, and up-to-date. We do not, however, make any representations, warranties, or guarantees (whether express or implied) that the Content is complete, accurate, or up-to-date and we have no control over, or have any responsibility for any information placed on our Site by Merchants. 10.4 We are not responsible for the content or accuracy of any MealGo User Content, nor for any opinions, views, or values expressed in any MealGo User Content. Any such opinions, views, or values are those of the relevant User and do not reflect Our opinions, views, or values in any way.

11. Our/The Platform/MealGo Liability

11.1 As permitted by law, We, the Platform, MealGo accept no liability to any User Merchant or Customer for any loss or damage, whether foreseeable or otherwise, in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising out of or in connection with the use of (or inability to use) Our Site, or the content of, use of, or reliance upon any Content (including User Content) included on Our Site. 11.2 We exclude all representations, warranties, and guarantees (whether express or implied) that may apply to Our Site or to any Content (including User Content) included on Our Site. 11.3 If you are a business/Merchant (i.e. a User using Our Site in the course of business and/or for commercial reasons), We accept no liability for loss of profits, sales, business, or revenue; loss of business opportunity, goodwill, or reputation; loss of anticipated savings; business interruption; or for any indirect or consequential loss or damage. 11.4 We use all reasonable skill and care to ensure that the Platform site is free from viruses and other malware. Subject to sub-Clause 11.2, however, We accept no liability for any loss or damage resulting from a virus or other malware, a distributed denial of service attack, or other harmful material or event that may adversely affect your hardware, software, data, or other material that occurs as a result of your use of Our MealGo Site or any other site referred to on Our MealGo Site. 11.5 We neither assume nor accept responsibility or liability arising out of any disruption or non-availability of Our MealGo Site resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, natural events, acts of war, or legal restrictions and censorship. 11.6 Nothing in these Terms of Use seeks to exclude or restrict Our liability for fraud or fraudulent misrepresentation, for death or personal injury resulting from negligence, or for any other forms of liability that cannot be excluded or restricted by law. 11.7 Liability and Indemnification: the Merchant is liable if an order goes missing or is incorrect.

12. Virus, Malware, Security

12.1 We exercise all reasonable skill and care to ensure that Our Site is secure and free from viruses and other malware including, but not limited to, the scanning of all User Content uploaded by Users for viruses and malware as it is uploaded. We do not, however, guarantee that Our MealGo Site is secure or free from viruses or other malware and accept no liability in respect of the same. 12.2 You the Merchant are responsible for protecting your hardware, software, data, and other material from viruses, malware, and other internet security risks. 12.3 You must not deliberately introduce viruses or other malware, or any other material which is malicious or technologically harmful either to or via Our MealGo Site. 12.4 You must not attempt to gain unauthorised access to any part of Our Site, the server on which Our Site is stored, or any other server, computer, or database connected to Our Site. 12.5 You must not attack Our Site by means of a denial of service attack, a distributed denial of service attack, or by any other means.

13. Communication between MealGo and Merchant

13.1 Communication from MealGo will be by email or any other form of communication confirmed by email relating to important matters including, but not limited to, service changes; changes to these Terms of Use; Our Terms for Vendors, Terms for Customers, Privacy Policy, or Cookie Policy; and changes to your Merchant Account.

14. Change of Terms of Use

14.1 We MealGo may alter these Terms of Use at any time. Any such changes will become binding on you upon your first use/registration of Our MealGo Site after the changes have been made. You are therefore advised to check this page from time to time. 14.2 In the event of any conflict between the current version of these Terms of Use and any previous version(s), the current version shall prevail unless it is specifically stated otherwise.

15. Applicable Law and Jurisdiction

15.1 These Terms and Conditions of the MealGo Merchant Agreement, and the relationship between you the Merchant and Us MealGo (whether contractual or otherwise) shall be governed by, and construed in accordance with the law of England & Wales. 15.2 Any disputes concerning these Terms and Conditions, the relationship between you and Us, or any matters arising therefrom or associated therewith (whether contractual or otherwise) shall be subject to the exclusive jurisdiction of the courts of England & Wales.

16. Authority to Sign
